Overview

Sarah Proctor is a skilled commercial finance attorney who thrives on negotiating complex deals. She has worked with banks, healthcare lenders, other financial institutions and companies to complete a wide variety of secured lending transactions, including lender and borrower side representations in syndicated and bilateral credit facilities, first lien and second lien credit facilities, cash flow and asset-based loans, and mezzanine financing transactions. Sarah’s creativity, keen understanding of the law, interpersonal nature and business-focused outlook help build the ideal atmosphere for her clients to structure and close their financing transactions.

Focusing on the representation of commercial lenders and other providers of capital to business, Sarah guides her clients through all manner of lending transactions. She has significant experience working on healthcare loans and transactions with complicated collateral packages, sponsor-led transactions, acquisition finance and cross-border deals. She also advises her clients in forbearances, workouts and restructurings. With her deep knowledge of the commercial finance and healthcare industries, Sarah can confidently guide lenders and borrowers through even the most complicated financing structures, responsively and efficiently.
