Overview

Acquisitions and joint ventures are often sophisticated, but in the highly regulated healthcare business, they are especially complex. Healthcare companies turn to Parker Hudson for our experience in a multitude of healthcare transactions, as well as our ability to handle matters nationwide.

The healthcare market is fragmented, and opportunities abound. Healthcare companies looking to acquire, consolidate, or divest entire businesses or separate business lines need a legal team ready to guide them through the regulatory landscape while also protecting their interests in myriad transactions.

Our attorneys have substantial transactional experience in the healthcare market, having successfully managed a number of high-stakes acquisitions, mergers, affiliations, joint ventures, provider networks, clinical integrations, and ACOs in recent years.

Our experience extends to transactions between hospitals, regional medical centers, physician practice groups, ancillary service providers, healthcare systems, and a wide range of other healthcare entities and in many of the most active markets — including dialysis, radiology, and ophthalmology.

Experience

  • Served as transaction counsel for Hospital in connection with the acquisition of a 276-bed acute care hospital. The transaction extended the hospital system for the first time beyond the metro Atlanta area. The transaction was accomplished pursuant to a Member Substitution Agreement and required a public hearing and formal Report of Findings from the Attorney General of the State of Georgia under the Georgia Hospital Acquisition Act.
  • Advised a medical clinic in connection with the assessment and development of medical records policies with respect to access, access fees and authorization requirements. 
  • The firm has served as lead counsel to Hospital throughout the past two years in negotiations, contracting, due diligence, and documentation surrounding the consolidation of a multi-hospital non-profit health system with another major non-profit health system in South Florida. 
  • Represented large healthcare system in arbitration of Medicare Advantage disputes as well as renegotiated participation contracts to include more favorable terms for the provider.
  • Obtained a joint licensure and CMS certification for new South Hall Campus hospital facility to be treated as part of a single Northeast Georgia Medical Center provider entity.
  • Represented a tax exempt physician practice with the highest patient volume in the country in its subspecialty with respect to federal and state regulatory approvals, compliance and joint venture/affiliations.

  • Developed and executed a regulatory system strategy for St. Joseph's/Candler related to development of micro hospital campus in western Chatham County.
  • Assist a medical group in the sale of its practice to a hospital and the negotiation of employment agreements with the hospital.
  • Developed and executed an acquisition regulation and legislation strategy for Northeast Georgia Health System related to acquisition of assets of Chestatee Regional Medical Center and subsequent sale and lease back to Georgia Board of Regents (the State University System).
  • Represented Veritas Collaborative, LLC obtain regulatory approval for the first dedicated pediatric eating disorders 50-bed inpatient hospital in Georgia. We obtained approval despite the fact that four existing inpatient psychiatric systems initially opposed the program and that no new psychiatric hospital had been approved in Fulton County, Georgia in many years.
  • Represented a medical center in Alabama in connection with its transfer of operations of an affiliated rural hospital. 
  • Assist multiple physicians in negotiating a service line agreement with a hospital.
  • Prepared policies and conducted training for covered entities across the country to comply with HIPAA Privacy Rule. 
  • Advised hospitals, physicians, nursing homes, health plans, and other covered entities regarding compliance issues.
  • Assist a medical group in the sale of its assets to a hospital and the negotiation of the professional services agreement.
  • Counseled Business Associates and entities working with regulated providers on HIPAA Privacy, Transactions and Security Standards as well as HITECH implementation. 
  • Performed investigations and analysis of potential breaches of confidential information to advise regulated entities.
  • Represented a medical center in connection with significant identity theft data breach caused by an employee of an outside vendor. We assisted the client with the internal investigation and coordination with cyber insurance carrier and its counsel with respect to reporting credit monitoring and indemnification. 
  • Assist clients in connection with acquisitions and other related transactions with respect to due diligence related to HIPAA and other privacy and data security issues. 
  • Development of Business Associate Agreement forms and assistance with negotiation and evaluation of these agreements. 
  • Assist a dermatology practice in merging three medical practices into one entity.
  • Assisted a medical center with the development of their business associate audit guidelines and implementation of Data Privacy/Security Preparedness Assessment form in order to assess vendors.
  • Assist a medical group in the sale to a public company.
  • Represent the Georgia Health Information Network (GaHIN), a non-profit that gives healthcare providers and stakeholders across Georgia the ability to access patient information directly from their electronic health record systems. This allows providers to access critical patient information at the point of care. GaHIN is a state-designated entity for health information exchange in Georgia and is recognized nationally as a leading innovator by the Office of the National Coordination for Health Information Technology (ONC). We advise the client on privacy, regulatory and other operational matters.
  • Assist a medical group with sale of majority ownership interest in ambulatory surgery center to hospital and negotiate operating agreement for joint ownership of surgery center.
  • Assist a medical group in acquisition of a competing medical group.
  • Assist a medical group in the acquisition of multiple other medical groups.
  • Assist two large medical groups in merging and developing new shareholders' agreement.
  • Assist a medical group in sale of an infusion center to a hospital and negotiation of professional services agreement.
  • Assist a medical group in the sale of its practice to a hospital and negotiation of employment agreements with hospital.
