Kellsie Ruane is an associate in the firm’s Corporate practice group, where she focuses her practice on corporate transactions. She advises clients on a wide range of transactional matters, including mergers and acquisitions, entity formation and governance, commercial contracts, and financing transactions, with a focus on delivering practical, business-oriented solutions.

Kellsie also has experience representing clients in the acquisition, disposition, financing, development, and leasing of commercial properties.

Kellsie is an active member of the legal community, having previously served as Vice-Chair of the American Bar Association’s Young Lawyers Division Real Property, Trust & Estate Law Committee. During law school, she volunteered at the Emory Volunteer Clinic for Veterans, providing pro bono legal assistance to local veterans, and mentored high school students alongside practicing attorneys.

  • Represented the sole shareholder in the $70 million sale of stock in a multigenerational steel business to a NYSE-listed metal solutions provider.*
  • Represented shareholders of a closely held corporation valued in excess of $300 million in its acquisition by a private equity group.*
  • Assisted various clients with recapitalizations of operating companies in coordination with estate planning counsel.*
  • Advised a medical device sales company in equity raising strategy and organizational structure in advance of submitted a government contract bid.*
  • Counseled clients on Corporate Transparency Act reporting and compliance.*
