Overview

Jim Andros’ clients know they can turn to him for all aspects of their corporate, transactional, and financing needs. Over the course of his 35-year career, Jim has gained extensive experience helping guide businesses through all types of transactions including mergers, acquisitions, divestitures, recapitalizations, capital raises, financings, and restructurings, and guides high net worth individuals with their wealth management, succession planning, and estate planning. With his experience and deep knowledge of corporate and tax law, Jim is a trusted advisor to his clients for such types of matters.

As an attorney with such a breadth of knowledge and experience, Jim is able to represent and counsel domestic and foreign companies and high net worth individuals across a wide range of commercial legal needs. Jim serves as outside general counsel for many of his clients. His business clients range from emerging and growth stage companies to mature companies (private and public), including a focus on family-held enterprises. In addition to advisory services and transactional representations in M&A and a broad range of transactions, Jim also regularly advises his clients on important governance issues, fiduciary obligations, succession planning, wealth management, and estate planning. Jim also has a focus in advising high net worth individuals, family held enterprises, private equity groups, investment bankers, business owners, C Suite executives, Boards, committees and family offices. He also represents senior corporate executives with negotiating employment or severance agreements.

Jim’s wide range of experience helps him to spot opportunities and navigate a path to the optimal and practical client outcome. With his steady manner and responsive nature, Jim epitomizes the role of partner, counselor, and trusted advisor for all those he works with.

Experience

  • Assist private equity client with capital raise/rollout of franchising operation.
  • Assist management of a large Southeast distributor of air compressors and related equipment in acquiring majority control of the company from a private equity group and simultaneously assist the company with a corporate restructuring, recapitalization, equity raise from another private equity group, and financing consisting of secured asset-based credit facility (consisting of revolving loan and term loan) and a secured mezzanine loan facility.
  • Assist medical coding services company in sale to strategic buyer.
  • Assist a healthcare company with private placement of convertible notes offering.
  • Assist a private construction firm in succession planning for ownership and management.
  • Assist a wealth management advisory firm and affiliates with a restructuring involving buyout of certain owners, admission of new owners, and related commercial financing.
  • Assist private equity client with capital raise and roll up of business services companies to create national footprint.
  • Assist a medical device company with a roll up with affiliates and transfer of control to a private UK equity group.
  • Assist an accounting firm with a CPA firm acquisition.
  • Assist a private individual with executive severance package relating to retail public company.
