Paul's practice for over thirty years has been centered around business and corporate law, with a particular emphasis on the representation of clients in mergers, joint ventures, acquisitions and dispositions of businesses. Transactions have involved private as well as public companies, venture capital funds, financial institutions and family companies. A significant sub-specialty has been the representation of health care institutions in strategic affiliations and M&A activity. Paul also advises legal entities and their governing bodies on governance issues and fiduciary obligation issues and represents senior corporate executives in their employment and severance packages.

Represented a limited liability company comprised of large institutional health care systems in establishing the first "statewide" HMO in Georgia
Represented a national insurance brokerage firm through eight rounds of equity and debt financing, and in connection with its management equity incentive plans, a total reorganization plan, and its strategic acquisitions of businesses
Represented a not-for-profit entity in establishing a research facility and medical clinic specializing in the diagnosis and treatment of multiple sclerosis
Represented a not-for-profit holding company in obtaining tax-exempt status and in the reorganization of two not-for-profit hospices and related foundations
Represented a public English company in the acquisition of a US-based manufacturing concern (consideration was cash plus an earn-out)
