About Jennifer
Jennifer’s practice has been centered around corporate and health care law, with a particular emphasis on the representation of clients in mergers, joint ventures, acquisitions and dispositions of businesses. Transactions have included mergers and acquisitions involving privately held business entities and in structuring and implementing various health care ventures, including establishment of physician-hospital organizations, management service organizations and provider networks; implementation of hospital-physician joint venture arrangements and contracts; and acquisitions of hospitals, physician practices and other providers. Jennifer provides particular expertise in evaluating Medicare Fraud and Abuse and Stark principles. A significant sub-specialty has been the representation of health care institutions with the full range of integrated delivery system strategies, including hospital mergers/acquisitions, hospital-physician agreements (e.g., PHOs, MSOs), the development of insurance capabilities within an integrated system, managed care contracting and the various physician strategies for success, such as affiliation with hospitals, practice management companies, and the development of practices and IPAs.

- Represented a single specialty physician group in the establishment of a practice management company and the development of a surgery center
- Represented the selling stockholders in the sale of a computer software company
- Represented the selling stockholders in the sale of stock of a regional food distribution company to a public company (the consideration was cash plus an earn-out)
