About Mitch

Mitch is a senior partner in the firm's Commercial Finance and Corporate practice groups with over 33 years of practice experience. His commercial transaction practice concentrates on representing banks and other lending institutions in debt financings. Mitch regularly represents firm clients in both single-lender and syndicated asset-based loan transactions. He has extensive experience in structuring, documenting and closing loans and business transactions of many types, including asset based, revolving and term credit facilities, lease financing and bond issues, as well as loan workouts and restructurings.

Mitch's corporate practice involves counseling business entities of all sizes in mergers and acquisitions, equity and debt financings, contracting and corporate governance matters. Among the industries in which his clients are involved are software development and distribution, consulting and professional services, construction, packaging, chemicals and other manufacturing and tire distribution.

Mitch has been involved in bar work at the state level and is a past chair of the Corporate Banking Law (now Business Law) Section of the State Bar of Georgia.  He has lectured extensively on business topics.

  • Acted as agent's counsel in $950 million revolving credit facility to manufacturer of modular buildings, including coordinating real estate collateral filings in numerous U.S. states and Canadian provinces
  • Acted as agent's counsel in $250 million multi-lender revolving credit facility to manufacturer and importer of bed and bath linens
  • Represented agent in $125 million syndicated revolving credit and letter of credit facility to firearms manufacturer, closing simultaneously with a subordinated notes offering
  • Represented agent in $50 million revolving credit and letter of credit facility to U.S. based office imaging company involving foreign subsidiaries and collateral, closing simultaneously with subordinated notes offering
  • Reviewed loan documentation for participation by client banks as co-lender in numerous credit facilities, ranging from $45 million to $1.6 billion, to borrowers in various industries
  • Represented seller in software development company asset sale
